Abstract Kürzlich hatte der Bundesgerichtshof zum zweiten Mal nach 2019 Gelegenheit, über die analoge Anwendung des § 179 a AktG auf andere Gesellschaften als AG und KGaA zu entscheiden, und hat eine solche Analogie neuerlich abgelehnt. Während der Senat mit der Thematik bezogen auf das GmbH-Recht vor vier Jahren erstmals befasst war, bedeutet der aktuelle Ausspruch zum KG-Recht die Aufgabe seiner gegenteiligen Rechtsprechung. Die Entscheidungen überzeugen nicht vollends, da sie im Zusammenhang mit Gesamtvermögensgeschäften den Schutz der (Minderheits-)Gesellschafter gegenüber dem Schutz des Rechtsverkehrs zu schwach gewichten. Die Verneinung der analogen Anwendung des § 179 a AktG außerhalb des Aktienrechts hat zudem neue Fragen aufgeworfen, die derzeit noch ungeklärt sind.
Abstract Recently the German Federal Court of Justice (BGH) got the chance to hold on the question whether sec. 179 a of the German Stock Corporation Act (AktG) should not only apply to the German Stock Corporation (Aktiengesellschaft) and Limited Partnership on Shares (Kommanditgesellschaft auf Aktien), but analogously also to the German Limited Liability Company (GmbH) and Limited Partnership (Kommanditgesellschaft, KG). The BGH declined this question, ruling on the GmbH for the first time while overruling a prior holding with regard to the KG. The following deliberations show that this holding is not entirely convincing because concerning total assets deals it stresses too little on minority shareholders’ protection while the shelter of legal trade is overvalued. Moreover, important issues connected with the rejection of the analogous application of sec. 179 a AktG beyond stock corporation law remain unsettled.
